According to BusinessWeek, Palm put in a bid to buy PalmSource but they were outbid by other companies. Rather than up their bid they decided the deal did not make sense for them.
In an email obtained by BusinessWeek, Palm CEO Ed Colligan said "There was a point beyond which we didn't think it made sense."
Japanese mobile software company ACCESS won the bidding war and agreed to acquire PalmSource for $324 million dollars. For Palm, that was the "least objectionable" outcome because it didn't put PalmSource into a competitor's hands.
